Ad-hoc Announcement in Accordance with Section 15 of the WpHG (German Securities Trading Act): Analytik Jena AG Will Acquire ICP-MS Business from Bruker

Jena (Germany), August 13, 2014 – Analytik Jena AG (Prime Standard: AJA, ISIN: DE0005213508) has today finalized a binding agreement on the purchase of the entire ICP-MS business (Inductively Coupled Plasma Mass Spectrometry) of the Bruker Corporation (NASDAQ: BRKR) with approval from the Supervisory Board. The transaction is expected to close in September 2014. The Companies have agreed to keep the purchase price confidential.

As part of an asset deal, the Jena-based instrument manufacturer will acquire or licence patents and licensing rights as well as research, development and production know-how in addition to the essential assets attributable to the business unit. Another component of the asset deal is the acquisition of the majority of the global employees involved in this business unit from research and development, sales and application as well as the technical customer service by the time the transaction is completed.

With this acquisition, Analytik Jena AG will enter the rapidly growing global ICP-MS market and continue the intensive developmental work in this area done by Bruker and previously Varian Inc. Analytik Jena AG will also acquire an excellent and globally installed customer base from Bruker as part of the transaction. Bruker generated revenue of approx. USD 12.0 million with ICP-MS products and services in 2013.

With its entry into the ICP-MS business, Analytik Jena will soon cover all three core technologies in elemental trace analysis (AAS, ICP-OES & ICP-MS) in its portfolio and close the gap between it and the world’s three largest instrument manufacturers in analytical measuring technology. The new product segment is expected to be integrated into the Analytical Instrumentation business unit of Analytik Jena where it achieved consolidated sales of EUR 57.8 million in the 2012/2013 financial year.
